Terms of Service

1. Agreement to these Terms

These Terms of Service (the “Terms”) are a binding agreement between you and Doorstep (“Doorstep,” “we,” “us,” or “our”) governing your use of the website at doorstep-la.online and any related domain (the “Site”), the Doorstep Telegram bot (the “Bot”) and related services (together, the “Services”). By submitting a request, registering as a Provider, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. What Doorstep does

Doorstep provides an online venue through which individuals seeking handyman, cleaning, catering and similar services in the Los Angeles area (“Customers”) can post requests, and independent businesses and individuals offering those services (“Providers”) can receive and respond to them.

• Doorstep does not perform any services and is not a contractor, employer or agent of any Provider.
• Any agreement for services is made solely between the Customer and the Provider. Doorstep is not a party to that agreement and is not responsible for its terms, performance, quality, timing, price or payment.
• Providers are independent. They decide which requests to respond to, set their own prices, and control how, when and with what tools the work is performed.
• Doorstep does not conduct background checks and does not verify Providers’ licenses, insurance, qualifications or identity, unless we expressly state otherwise for a specific Provider. Ratings are submitted by users and reflect their opinions, not ours.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.

4. Your account

The Bot operates through your Telegram account, and your use of Telegram is subject to Telegram’s own terms. You are responsible for all activity under your account and for keeping the information in your profile accurate. We may assign you a public identifier (for example, LA-1042) that other users can use to find or refer to you.

5. Terms for Customers

• Accurate requests. You agree to describe the job, location, timing and property conditions truthfully and to update or cancel a request that is no longer needed.
• Sharing your request. You understand that the details of your request, including the address and, for requests made in the Bot, your name and Telegram profile, will be shared with Providers who serve your area, as described in our Privacy Policy.
• Consent to be contacted. By submitting a request with a phone number or email address, you agree that Providers who receive the request, and Doorstep, may contact you by phone call, text message or email about that request. These communications are not marketing. Message and data rates may apply. You may ask a Provider to stop contacting you at any time.
• Choosing a Provider. You are solely responsible for selecting a Provider and for agreeing on the scope, price and schedule of the work. We encourage you to confirm any license, insurance and references that matter to you before work begins.

6. Terms for Providers

• Licenses and compliance. You represent and agree that you hold, and will maintain, all licenses, registrations, permits and insurance required by law for the services you offer, including, where applicable, a license issued by the California Contractors State License Board and any health permits required for food service. You will not accept work that you are not legally permitted to perform.
• Independent business. You act as an independent business and are solely responsible for your work, your workers, your taxes, and compliance with all applicable laws, including consumer protection, employment, safety and anti-discrimination laws.
• Use of Customer information. You may use Customer contact details and request information only to respond to and perform the requested job. You may not sell it, add it to marketing lists, or use it for any other purpose, and you will protect it with reasonable safeguards.
• Accurate profile. Your profile, service areas, and statements to Customers must be truthful and not misleading.
• Your own leads. If you connect your own lead sources to Doorstep (such as website forms or advertising lead forms), you are responsible for having the right to collect that information and to route it to us for delivery to you.

7. Fees and payments

Doorstep does not charge Customers for posting requests. Doorstep does not currently charge Providers for receiving or responding to requests. We may introduce fees for Providers in the future; if we do, we will give at least 30 days’ notice through the Bot, and fees will apply only if you continue to use the relevant features after that date.

All payments for services are made directly between the Customer and the Provider. Doorstep does not collect, hold or process those payments and is not responsible for refunds, deposits, price disputes, or non-payment.

8. Ratings and user content

You are responsible for the ratings, comments, notes, profile text and other content you submit (“User Content”). Ratings must reflect your genuine experience with the other party to a completed job. You grant Doorstep a non-exclusive, worldwide, royalty-free license to host, store, display and use your User Content to operate and promote the Services. We may remove User Content that we believe violates these Terms or the law, but we have no obligation to monitor it.

9. Prohibited conduct

You agree not to:

• post false, fraudulent, spam or advertising content, or requests for illegal services;
• harass, threaten, discriminate against or endanger any person;
• manipulate ratings, including by rating yourself or offering incentives for ratings;
• use the Services to collect other users’ information for purposes unrelated to a job;
• impersonate another person or misrepresent your affiliation or qualifications;
• interfere with the Services, including by scraping, overloading, or attempting to bypass security measures.

10. Third-party services

The Services rely on third-party platforms, including Telegram, Google and the Site host, and may contain links to or content from third-party marketplaces. We do not control and are not responsible for those services, and your use of them is governed by their terms.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, DOORSTEP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. DOORSTEP DOES NOT WARRANT THAT ANY REQUEST WILL RECEIVE A RESPONSE, THAT ANY PROVIDER IS QUALIFIED, LICENSED OR INSURED, OR THAT ANY SERVICE WILL BE PERFORMED SATISFACTORILY. ANY WORK IS PERFORMED BY PROVIDERS AT THE CUSTOMER’S AND PROVIDER’S OWN RISK.

12. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DOORSTEP AND ITS OWNERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY PROPERTY DAMAGE, PERSONAL INJURY OR LOSS ARISING FROM SERVICES PERFORMED OR NOT PERFORMED BY A PROVIDER, OR FROM ANY INTERACTION BETWEEN USERS. DOORSTEP’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DOORSTEP IN THE 12 MONTHS BEFORE THE CLAIM AROSE OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Release and indemnity

Because Doorstep is not a party to agreements between users, you release Doorstep from claims, demands and damages of every kind arising out of or connected with disputes between you and another user. If you are a California resident, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

You agree to indemnify and hold Doorstep harmless from any claims, losses and expenses, including reasonable attorneys’ fees, arising from your breach of these Terms, your User Content, or, if you are a Provider, the services you perform.

14. Dispute resolution and arbitration

Informal resolution first. Before starting any formal proceeding, you agree to contact us at support@doorstep-la.online and to try in good faith to resolve the dispute for at least 30 days.

Arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Los Angeles County, California, or by video conference, unless we agree otherwise. The Federal Arbitration Act governs this Section.

Class action waiver. You and Doorstep agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding.

Exceptions. Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court for infringement or misuse of intellectual property.

Opt-out. You may opt out of this arbitration agreement by emailing support@doorstep-la.online within 30 days after you first accept these Terms, stating your name, your Telegram username or phone number, and that you opt out of arbitration.

15. Suspension and termination

You may stop using the Services at any time and may delete your data as described in the Privacy Policy. We may suspend or terminate your access, or remove requests or profiles, if we reasonably believe you have violated these Terms, created risk for other users, or if required by law. Sections 2, 7, 8 and 11 through 17 survive termination.

16. Changes to the Services and these Terms

We may modify or discontinue any part of the Services. We may update these Terms from time to time; the “Last updated” date shows the latest revision. If changes are material, we will notify users through the Bot or on the Site before they take effect. Continued use of the Services after the effective date means you accept the updated Terms.

17. General

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except that Section 14 is governed by the Federal Arbitration Act. Subject to Section 14, the state and federal courts located in Los Angeles County, California have exclusive jurisdiction. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms and the Privacy Policy are the entire agreement between you and Doorstep regarding the Services.
